Salesforce is seeking a Corporate Counsel with corporate governance, executive compensation, equity compensation, corporate and securities, and benefits law experience. This attorney will have a strong drive to learn and grow in a fast-paced environment with a high degree of integrity and high personal standards of excellence and ethics. This attorney will provide primary support to the executive compensation and governance team, but also will support the corporate legal team. This role reports to the Senior Corporate Counsel, Executive Compensation & Governance and is based in the Seattle, WA or Irvine, CA office.

This attorney will:

  • Support the corporate legal team on all aspects of executive compensation and governance matters, including support of processes relating to the Compensation Committee and other committees of the Board of Directors

  • Oversee Section 16 and insider trading compliance, including all related Section 16 filings, 10b5-1 trading plans and related disclosures

  • Partner with our global equity plan services team to advise on broad-based domestic and international equity compensation matters, including global equity incentive plans and employee stock purchase plan compliance

  • Advise on executive compensation matters, including compensation-related disclosure and governance matters for our annual proxy statement and annual stockholder meeting

  • Partner with and collaborate across functions, including finance, Employee Success, Total Rewards, Global Equity Plan Services, payroll, tax, treasury, and accounting on various governance, securities, and executive compensation matters

  • Support and advise on executive and equity compensation aspects of M&A transactions

  • Stay current on executive compensation and corporate governance trends and best practices, NYSE developments, and translate into clear guidance for the corporate legal team and other key business partners

  • Support and advise on 401(k) plan governance and related matters

  • Assist with NYSE listing and governance requirements

Required Skills and Experience

  • Juris Doctor degree and in good standing to practice law in California or Washington

  • Three to five years of proven experience with a top tier law firm; in-house experience preferred, but not required

  • Experience advising public companies on corporate, securities, executive compensation and global equity compensation matters

  • Knowledge of applicable laws, including SEC, Internal Revenue Code, and ERISA rules, regulations and guidance

  • Flexibility and desire to work on challenging legal matters

  • Outstanding legal and business judgment

  • Excellent communication and interpersonal skills

  • Demonstrated success independently managing workload, priorities, and deadlines with limited oversight; ability to see projects through to completion

  • High level of attention to detail

For Washington-based roles, the base salary hiring range for this position is $172,500 to $237,200.

For California-based roles, the base salary hiring range for this position is $172,500 to $258,700.Compensation offered will be determined by factors such as location, level, job-related knowledge, skills, and experience.
